1. Acceptance of Terms
By accessing our website or engaging the services of Shastra Cloud Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services. These terms apply to all visitors, clients, and users.
2. Services
Shastra Cloud Limited provides ecommerce advertising and media buying services including, but not limited to, paid social advertising, Google Ads management, ROAS optimisation, creative strategy, and performance analytics. The specific scope of services for each client is outlined in a separate service agreement or statement of work.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for us to deliver services.
- Grant necessary access to advertising accounts, platforms, and analytics tools.
- Ensure your products, services, and advertising materials comply with applicable laws and platform policies.
- Pay all fees in accordance with the agreed payment schedule.
4. Fees and Payment
Fees for services are agreed upon before engagement and outlined in your service agreement. All fees are due as specified in the payment schedule. Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by law. We reserve the right to suspend services for overdue accounts.
5. Intellectual Property
All content, strategies, reports, and creative materials produced by Shastra Cloud Limited remain our intellectual property until full payment is received. Upon full payment, you are granted a non-exclusive licence to use deliverables for your business purposes. You may not resell or sublicense our work without prior written consent.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the service agreement. We will not disclose your business data, strategies, or results to third parties without your consent, except as required by law.
7. Results Disclaimer
While we are committed to maximising your advertising performance, we cannot guarantee specific results, revenue figures, or return on ad spend (ROAS). Digital advertising performance is influenced by many external factors beyond our control, including market conditions, platform algorithm changes, and seasonality. Past results are not indicative of future performance.
8. Limitation of Liability
To the maximum extent permitted by Hong Kong law, Shastra Cloud Limited shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability in any matter shall not exceed the fees paid by you in the three months preceding the claim.
9. Termination
Either party may terminate the service agreement with written notice as specified in the individual contract (typically 30 days). Upon termination, you remain responsible for fees incurred up to the termination date. We will return access credentials and data within 14 days of termination.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
11. Changes to Terms
We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
